Terms & Conditions

These terms govern access to Crypto Reconcile in Australia. By creating or using an account, you agree to these terms and the Privacy Policy.

Important: Crypto Reconcile is record-keeping and calculation software. It does not provide tax, financial, accounting or legal advice and does not lodge a tax return.

1. Provider and eligibility

Crypto Reconcile is provided by Nick & Sara Pty Ltd (ABN 63 618 452 949), trading as NexTron IT. You must be legally capable of entering these terms and provide accurate account information. Access is managed through your NexTron account.

2. Your responsibility

You are responsible for the completeness and accuracy of information you upload, map, enter, approve or provide to an adviser. You must review outputs before relying on them and obtain advice from a registered tax agent, accountant, financial adviser or lawyer where appropriate.

You must have authority to upload and process the records of each Reporting Entity. Accountant and organisational users are responsible for permissions granted to their team and clients.

3. What the service does

Crypto Reconcile imports supported exchange exports and mapped CSVs, structures transaction records, assists with reconciliation and review, retrieves reference information, performs configured calculations and generates reports or evidence packs. Results depend on the source records, mappings, user decisions, calculation settings and information available to the service.

4. Plans, allowances and payment

Individual allowances apply to one Reporting Entity and one financial year. Accountant plans may use pooled transaction allowances across activated client entity/year combinations. Current inclusions and prices are displayed before purchase and may change for future purchases or renewals.

Paid access may be restricted if payment fails, a subscription ends or an allowance is exceeded. Unless required by law or stated otherwise at purchase, fees are not refundable merely because you did not use the service.

5. Founding beta program

Beta participation is voluntary and unpaid. The agreed beta scope, including eligible Reporting Entities, financial years and reports, will be confirmed with each selected tester. Beta software may contain defects, change without notice and experience interruptions.

Free beta reports: Selected testers receive reports within the agreed beta scope without charge. Additional entities, years, transactions or work outside that scope may require a paid plan.

Founding-tester discount: Where NexTron confirms eligibility in writing, the tester receives 70% off the then-current standard price of their original eligible subscription tier while that subscription remains continuously active, paid and in good standing. Cancellation, expiry, failed payment, a lapse in continuity, transfer to another person/entity, abuse of the program or an unapproved tier change ends the discount unless NexTron confirms otherwise in writing. The discount does not apply to taxes, usage top-ups, third-party charges or services unless expressly stated.

Participants agree to provide honest product feedback and promptly report suspected security, privacy or calculation defects. NexTron may end beta participation where continued use presents a security, integrity, legal or operational risk.

6. Acceptable use

You must not attempt to bypass access controls, interfere with the service, upload malicious content, probe another user’s data, reverse engineer protected components, resell access without permission, or use the service unlawfully. Reasonable security and performance controls may limit automated or excessive use.

7. Data, confidentiality and intellectual property

You retain ownership of your records. You grant us the limited rights needed to host, process, secure, back up and present them to provide the service. We own Crypto Reconcile, its software, design, documentation and improvements, excluding your source records.

We handle personal information as described in the Privacy Policy. You must not upload information you are not authorised to disclose.

8. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation, particularly during beta. We may maintain, change, suspend or retire features. Where practical, material changes affecting paid users will be communicated in advance.

9. Reports and reliance

Reports are generated from the information and decisions recorded in the service. An “up to date” reconciliation status means the current processing workflow has completed; it is not a warranty that source data is complete or a tax position is correct. Reports should be reviewed with source records and, where appropriate, by a registered professional.

10. Liability

Nothing in these terms excludes rights or guarantees that cannot lawfully be excluded, including under the Australian Consumer Law. To the extent permitted by law, we are not liable for indirect or consequential loss, loss caused by inaccurate or incomplete source information, a user decision, third-party service, market event, missed deadline or reliance on the service as professional advice.

Where a statutory guarantee applies and liability can lawfully be limited, our liability is limited, at our option, to resupplying the service or paying the reasonable cost of resupply.

11. Suspension and termination

You may stop using the service at any time, subject to subscription terms. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use or conduct that threatens other users or the service. Existing data and completed reports may remain subject to retention, export and read-only rules.

12. Governing law and contact

These terms are governed by the laws of the Northern Territory and the Commonwealth of Australia. Questions may be sent to admin@nextron.com.au.

13. Changes to these terms

We may update these terms as the product evolves. The effective date will be updated and material changes will be communicated where reasonably required.
